1. Overview

These Terms of Service ("Terms") govern the provision of content creation and social media strategy services (the "Services") provided by Echomine Labs ("Company," "we," "us," or "our") to you ("Client," "you," or "your"). By engaging our Services, you agree to be bound by these Terms.


2. Services Provided

Echomine Labs specializes in the transformation of Client-provided long-form video content (including but not limited to: podcasts, webinars, video presentations, explainer videos, live talks) into short-form video content optimized for social media platforms.

The specific scope of work, including the number of videos per month and turnaround times, shall be defined by the tier selected by the Client and outlined in the applicable proposal or order form.


3. Client Responsibilities

To enable the successful delivery of Services, the Client agrees to:

  • Content Delivery: Provide all necessary long-form source materials in a timely manner, ideally within two weeks before the closure of a billing cycle for standard edits, to ensure they can be processed within the current month.

  • Late Delivery: If source materials are delivered late in the billing cycle and cannot be fulfilled within that same cycle, the monthly retainer remains non-refundable and is considered payment for reserved capacity. In such cases, the deliverables will be produced and counted toward the following month's batch quota.

  • Access and Rights: Grant Echomine Labs access to any relevant platforms or accounts necessary for research and optimization (e.g., social media accounts for style reference) if required.

  • Feedback and Revisions: Provide clear, consolidated feedback during the revision process within the stipulated timeframe (see Section 6).

  • Content Liability: The Client acknowledges that they are the sole creator and owner of the original long-form content. The Client retains full responsibility for the accuracy, legality, and messaging of the final short-form videos. Echomine Labs acts solely as an editor and distributor of the Client’s pre-existing material and bears no liability for the specific claims, opinions, or statements made within the content.

  • The Client is solely responsible for securing all necessary copyright clearances, licenses, or permissions for any third-party material (including but not limited to music, images, video clips, or trademarks) provided to Echomine Labs for use in the deliverables.

4. Intellectual Property Rights

  • Client Ownership: The Client retains full ownership of the original long-form content submitted to Echomine Labs.

  • Delivery Ownership: Upon receipt of full payment for a specific batch of Services, the Client is granted all rights to the final short-form videos and deliverables created specifically for them by Echomine Labs.

  • Company License to Use Source Material: To perform the Services, the Client grants Echomine Labs a non-exclusive, royalty-free, worldwide license to use, reproduce, and modify the Client's long-form content solely for the purpose of creating the short-form deliverables outlined in the scope of work.

  • Company Portfolio: Echomine Labs reserves the right to display samples of the final work (e.g., video clips, thumbnails, etc.) in our portfolio, website, and social media channels for promotional purposes, unless a mutual non-disclosure agreement is in place prohibiting such use.

5. Payment Terms

  • Fees: Services are provided on a monthly retainer basis as outlined in the selected Tier.

  • Invoicing: Fees are billed monthly in advance. Invoices are due upon receipt. Services for the upcoming month will commence once payment is confirmed.

  • Late Payment: If payment is not received within 48 hours of the due date, Echomine Labs reserves the right to pause all active work and hold deliverables until the outstanding balance is cleared.

6. Revisions and Edits

  • Included Revisions: Each monthly batch includes 2 rounds of revisions. Revisions are limited to minor adjustments (e.g., correcting text, swapping a clip, adjusting the call-to-action), and do not include complete re-edits.

  • In some cases, editing times may be slower than the standard turnaround if the edit proves to be more complex than the standard editing service.

  • Scope Creep: Requests that constitute a fundamental change to the creative direction, or requests that require re-editing the majority of the video, may be considered out of scope and quoted as a new project, additional fee, or count against the monthly deliverables limit.

  • Deadline for Feedback: Revision requests must be submitted within 5 business days of delivery. Failure to provide feedback within this timeframe will constitute acceptance of the deliverables as final. Requests for revisions after this timeframe will count toward the monthly deliverables limit and may be applied to the following billing cycle.

7. Refund Policy

Due to the creative nature of the Services and the immediate allocation of resources, editing time, and strategy upon acceptance of a project, Echomine Labs generally operates a No-Refund policy on monthly retainers.

  • Work Already Delivered: If a batch of videos has been delivered to the Client, no refunds will be issued for that month's retainer.

  • Work in Progress: If a Client cancels mid-month after source materials have been received and work has begun, a refund will only be considered for the pro-rata portion of work not yet started. No refunds will be given for time already invested in strategy, mining, or editing.

  • Money-Back Guarantee: If Echomine Labs fails to deliver the agreed-upon number of videos within the specified turnaround time (Standard: Two weeks) due to internal Company error (and not due to Client delay in providing materials or feedback, or for creative differences), the Client may request a full refund for that specific month's retainer upon written notice.

8. Limitation of Liability

To the maximum extent permitted by law, Echomine Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  1. The use or inability to use the deliverables.

  2. The performance of the social media platforms themselves (e.g., changes to algorithms, platform outages, or content takedowns by the platform).

  3. Any conduct or content of any third party on the platforms where the content is posted.

  4. The specific claims, opinions, statements, or messaging contained within the final short-form videos. The Client acknowledges they are the sole creator and owner of the original long-form content and retain full responsibility for the accuracy, legality, and messaging of all deliverables. Echomine Labs acts solely as an editor and distributor of the Client's pre-existing material.

  5. Any copyright infringements or clearance issues arising from the Client's source materials, including but not limited to unlicensed music, video clips, images, or third-party intellectual property contained within the long-form content provided by the Client.

Our total liability for any claim arising out of these Terms shall not exceed the amount paid by the Client to Echomine Labs during the three (3) months preceding the event giving rise to the liability.

9. Content Guarantees and Performance

While Echomine Labs utilizes strategies built on years of experience to maximize the potential of your content, we cannot and do not guarantee specific results (e.g., specific view counts, follower growth, revenue increases, or "viral" success).


Social media platforms are dynamic environments, and performance depends on factors outside our control, including audience behavior and platform algorithm changes. The Client acknowledges that past performance of other client work is not a guarantee of future results for the Client's specific content.

10. Term and Termination

  • Term: This agreement shall commence on the start date and continue on a month-to-month basis unless terminated by either party.

  • Termination: Either party may terminate the Services at the end of a monthly billing cycle by providing written notice to the other party at least 5 days before the next billing date.

  • Upon Termination: Upon termination, the Client shall pay for all Services rendered up to the effective date of termination. Any deliverables already paid for and completed will be delivered to the Client.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ohio and the United States, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will provide notice to you, such as by sending an email or updating the date at the top of this policy. Continued use of our Services after any such changes constitutes your acceptance of the new Terms.
